These Terms of Service ("Terms") are an agreement between Kingdom Mindset Investing LLC, an Idaho limited liability company doing business as Unbreakable OS ("we", "us" or "Unbreakable OS"), and the organization that creates an Unbreakable OS workspace ("Customer") and each person who uses the service ("you").
By creating an account, starting a trial or using the service, you agree to these Terms and to our Privacy Policy at unbreakable-os.com/privacy. If you accept these Terms for an organization, you confirm you have authority to bind it. If you do not agree, do not use the service.
Unbreakable OS is for business use. It is not directed to children, and you must be at least 18 to create an account.
2. The service
Unbreakable OS is software that helps a company set big goals, collect and review pitches, decide on monthly priorities, post weekly updates and record whether each priority was executed. The service includes the web app at app.unbreakable-os.com, the Unbreakable OS apps for iPhone and Android, and related features and support (together, the "Service").
We improve the Service over time and may add, change or remove features. If we remove a feature that is central to a paid plan, we will give Customer reasonable notice.
3. Accounts and workspaces
- Give us accurate account information and keep it current.
- Keep your login secure. You are responsible for activity under your account, and you must tell us promptly at admin@unbreakable-os.com if you believe it has been compromised.
- Customer’s administrators control the workspace: who is invited, their roles, and the workspace’s settings and data. If you were invited by an organization, it can manage or remove your access.
- Each seat is for one named person. Seats may not be shared.
4. Free trial
New workspaces can start a 45-day free trial. A payment card is required to start the trial, and nothing is charged during the trial. During the trial you may invite up to 70 people.
We email a reminder 7 days and again 3 days before the trial ends. When the trial ends, Customer’s paid subscription starts automatically and the card on file is charged for the plan and billing period selected at signup, based on the number of seats in use when the trial ends, with a minimum of 10 seats. To avoid being charged, cancel before the trial ends.
One free trial per organization. We may end a trial early or decline a trial if we see abuse.
5. Plans, seats and billing
- Prices. Current prices are on unbreakable-os.com/pricing. Every plan includes the full Service; the price depends on the number of seats. Self-serve plans cover up to 70 seats. Larger teams are priced by separate agreement.
- Seats. Seats are your active members plus any invitations you have sent that are still open.
- Billing periods. Plans are billed monthly or yearly, in advance. A yearly plan is a 12-month commitment billed up front, priced at 10 months, so 2 months are free.
- Adding and removing seats. You can add seats at any time; added seats are charged for the rest of the current billing period. Removing seats takes effect at your next renewal, not immediately.
- Automatic renewal. Subscriptions renew automatically at the end of each billing period for the same length of time until cancelled.
- Payment. Payments are processed by Stripe. You authorize us to charge the payment method on file for all fees. Fees are in US dollars and exclude taxes, which Customer pays where they apply.
- Price changes. We may change prices with at least 30 days’ notice. A change applies from your next renewal.
- Late payment. If a payment fails and is not fixed after notice, we may suspend the workspace until it is paid.
6. Cancellation and refunds
Customer can cancel at any time from billing settings or by emailing admin@unbreakable-os.com. Cancellation takes effect at the end of the current billing period, and the workspace stays available until then. Except where the law requires otherwise, fees already paid are not refundable, including for a partial period or unused seats, and a yearly plan is not refundable for unused months.
7. Your content and data
Customer owns the content its people put into the Service, such as goals, pitches, priorities, updates, comments and attachments ("Customer Content"). You give us permission to host, copy, process and display Customer Content only as needed to provide, secure and support the Service and as described in our Privacy Policy.
We do not sell personal information. We may use aggregated or de-identified information about how the Service is used, which does not identify Customer or any person, to operate and improve the Service.
You are responsible for Customer Content and for having the rights to upload it. Account and data deletion requests follow the process at unbreakable-os.com/account-deletion.
8. AI features
Some features use artificial intelligence to analyze content you submit, such as reviewing pitches before they reach leaders and summarizing updates. These features send the relevant content to our AI provider, currently OpenAI, to produce a result.
- AI output can be wrong or incomplete. Review it before relying on it.
- AI does not make decisions in Unbreakable OS. It flags and ranks ideas; your leaders decide what to approve or reject, and Customer is responsible for those decisions.
- We do not allow our AI provider to use Customer Content to train its models.
9. Acceptable use
You agree not to:
- break the law or anyone’s rights, or upload content that is unlawful, harmful or infringing;
- upload malware or try to break, overload or get around the security of the Service;
- scrape, copy or extract the Service or its content by automated means;
- reverse engineer the Service, except where the law allows it despite this restriction;
- resell, sublicense or share access to the Service outside Customer’s own organization;
- use the Service, including a free trial, to build, train or benchmark a competing product, or to copy its features, design or content.
10. Our intellectual property
We and our licensors own the Service, including its software, design, workflows, videos, written materials and the Unbreakable OS name and logo. These Terms give Customer a limited, non-exclusive, non-transferable right to use the Service during its subscription for its internal business purposes. No other rights are granted.
If you send us feedback or suggestions, we may use them without any obligation to you.
11. Third-party services
The Service relies on third parties such as Stripe for payments and Apple and Google for the mobile apps. Your use of those services is also subject to their terms. We are not responsible for third-party services we do not control.
12. Suspension and termination
We may suspend or end access to the Service if Customer does not pay, if you materially breach these Terms, or if we need to in order to protect the Service, other customers or the law. Where reasonable, we will give notice and a chance to fix the problem first.
When a subscription ends, access ends. Customer can request an export of its data within 30 days after the end date. After that we may delete Customer Content, subject to the retention described in our Privacy Policy. Sections 7 and 9 through 18 survive termination.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT PROMISE THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT USING IT WILL ACHIEVE ANY PARTICULAR BUSINESS RESULT.
14. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA, EVEN IF TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE FEES CUSTOMER PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
15. Indemnity
Customer will defend and indemnify us against third-party claims arising from Customer Content or from Customer’s or its users’ breach of these Terms or misuse of the Service.
16. Governing law and disputes
These Terms are governed by the laws of the State of Idaho, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Bonner County, Idaho, and both parties consent to those courts.
17. Changes to these terms
We may update these Terms. For material changes we will give at least 30 days’ notice by email or in the Service. Continuing to use the Service after a change takes effect means you accept it.
18. General
- These Terms and the Privacy Policy are the whole agreement for the Service, unless Customer signs a separate agreement with us, which then controls.
- Customer may not assign these Terms without our consent; we may assign them in a merger, acquisition or sale of assets.
- If any part of these Terms is unenforceable, the rest stays in effect.
- Not enforcing a right is not a waiver of it.
- Neither party is liable for delays caused by events beyond its reasonable control.
- We may send notices to the email on the account. Notices to us go to admin@unbreakable-os.com.
